If you do not agree to these Terms, do not use the Website or Service. These Terms constitute a legally binding agreement between you and Dental Spaces LLC, doing business as Ayla (“Ayla,” “we,” “us,” or “our”).
2. Description of Service
Ayla is a cloud-based dental practice management software platform that provides clinical charting, scheduling, patient communication, insurance billing, analytics, digital forms, membership plan management, team communication, and mobile access for dental practices. The Service is designed for use by licensed dental practices in the United States.
3. Website Content and Marketing Claims

5. Pricing and Payment
Ayla offers subscription plans as described on our pricing page. All prices are in US dollars. Monthly plans are billed monthly and may be canceled at any time. Annual plans are billed once per year. All fees are non-refundable except as expressly stated in a separate agreement. We reserve the right to change our pricing at any time, provided that price changes will not affect existing subscribers during their current billing period. Annual subscribers’ pricing is locked in for the duration of their subscription as described in their service agreement.
Promotional Offers. Any promotional offers, incentives, discounts, or bonuses advertised on this Website or communicated during sales conversations (including but not limited to demo incentives, onboarding offers, free services, or gift card promotions) are not final until confirmed in a signed service agreement. Ayla reserves the right to modify, suspend, or discontinue any promotional offer at any time without prior notice. Promotional offers may be subject to eligibility requirements and additional terms.
Usage-Based Charges. Certain features include usage-based charges for activity exceeding your plan’s included limits. Current overage rates include but are not limited to: SMS at $0.02/text, eligibility checks at $0.25/check, claim submissions at $0.35/claim, and ERA postings at $0.25/posting. We reserve the right to adjust overage rates at any time. Current rates are listed on our pricing page. You are responsible for monitoring your usage.
Pricing on Website. All pricing information displayed on this Website, including plan prices, overage rates, and feature inclusions, is provided for informational purposes and is subject to change without notice. The pricing terms in your signed service agreement supersede any pricing displayed on this Website. In the event of a conflict between Website pricing and your service agreement, the service agreement governs.
6. Features and Service Changes
Ayla is actively developed and improved. We reserve the right to add, modify, or remove features, integrations, and functionality at any time. Features described on this Website or demonstrated during a sales process represent the current or planned state of the Service and are not guaranteed to remain available in their current form. We will make reasonable efforts to notify subscribing practices of material changes to the Service that may affect their workflows.
AI Features. The Ayla Service includes artificial intelligence features, including but not limited to AI Receptionist, AI Voice Charting (Scribe), AI Perio Scribe, and AI Insurance Agent. AI features are provided as productivity tools and may produce errors, inaccuracies, or unexpected results. AI-generated content, including but not limited to clinical notes, chart entries, insurance verifications, and appointment bookings, should be reviewed by qualified dental professionals before being relied upon for clinical or business decisions. Ayla is not responsible for errors, omissions, or adverse outcomes resulting from reliance on AI-generated content without appropriate human review. AI feature availability, capabilities, and included usage limits may change over time.
Beta and Preview Features. From time to time, we may offer features labeled as “Beta,” “Preview,” or “Coming Soon.” These features are provided as-is without warranty and may be modified, suspended, or discontinued without notice. Beta features should not be relied upon for critical clinical or business workflows.
7. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to any part of the Service; (c) interfere with or disrupt the Service or servers; (d) reverse engineer, decompile, or disassemble any part of the Service; (e) use the Service to store or transmit malicious code; (f) use the AI Receptionist or other AI features to conduct activities unrelated to dental practice operations; (g) resell, sublicense, or provide access to the Service to third parties without our written consent; or (h) use the Service in any way that violates HIPAA or other applicable healthcare regulations.
8. HIPAA Compliance
Ayla is designed to be used in compliance with the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and its implementing regulations. We will enter into a Business Associate Agreement (BAA) with each subscribing practice. You are responsible for ensuring that your use of the Service complies with HIPAA and all applicable federal, state, and local laws and regulations governing the privacy and security of protected health information (PHI).
9. Data Ownership and Portability
You retain full ownership of all data you input into the Ayla Service, including patient records, clinical notes, billing information, and all other practice data. Ayla does not claim any ownership interest in your data. You may request a full export of your data at any time in standard formats. Upon termination of your subscription, your data will be available for export for a period of 90 days, after which it may be deleted in accordance with our data retention policy.
10. Intellectual Property
All content on this Website, including text, graphics, logos, icons, images, and software, is the property of Ayla Dental or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this Website without our express written permission. The Ayla name, logo, and all related product and service names are trademarks of Ayla Dental.
11. Third-Party Trademarks
All third-party product names, company names, and trademarks mentioned on this Website (including but not limited to Dentrix, Curve Dental, Eaglesoft, Weave, Dental Intelligence, CareStack, Yapi, DentalHQ, BoomCloud, Birdeye, Podium, Solutionreach, DentalXChange, Vyne, and others) are the property of their respective owners. Ayla is not affiliated with, endorsed by, or sponsored by any of these companies. Use of these names on this Website is solely for the purpose of comparative information and does not imply any association or endorsement.
12. Service Availability
We target 99.9% uptime for the Ayla Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, software updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of scheduled downtime. Ayla shall not be liable for any damages resulting from Service downtime or interruptions.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Ayla and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of or inability to use the Service. In no event shall Ayla’s total liability exceed the amount paid by you to Ayla during the twelve (12) months preceding the claim.
Without limiting the foregoing, Ayla shall not be liable for any damages arising from: (a) errors or inaccuracies in AI-generated content; (b) missed, delayed, or incorrectly scheduled appointments by the AI Receptionist; (c) incorrect insurance verification results; (d) interruptions to the Service, including AI features; (e) changes to pricing, features, or Service availability; or (f) reliance on any information displayed on this Website, including competitor comparisons and savings estimates.
14. Disclaimer of Warranties
The Service and Website are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Ayla does not warrant that the Service will be uninterrupted, error-free, or completely secure, although we make reasonable commercial efforts to maintain high availability and security standards.
15. Indemnification
You agree to indemnify, defend, and hold harmless Ayla and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service or violation of these Terms.
16. Dispute Resolution and Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Los Angeles County, California. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than arbitration, you waive any right to a jury trial.
Exceptions. This arbitration agreement does not apply to: (a) claims for injunctive or equitable relief; (b) claims related to intellectual property rights; or (c) small claims court actions within the jurisdictional limits of such court.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Los Angeles County, California.
18. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
19. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after any changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.
